AFFILIATE PROGRAM
Affiliate Program Terms
Effective date: October 7, 2026
These Affiliate Program Terms (“Program Terms”) govern participation in the Nebijane affiliate program (the “Program”) operated by Nebijane LLC (“Nebijane,” “we,” “us,” or “our”), a Florida limited liability company.
By applying to the Program, or by participating in it after approval, you (“you” or the “Affiliate”) agree to these Program Terms. If you do not agree, do not apply or participate.
The Affiliate Disclosure Guidelines form part of these Program Terms.
The Program is not yet open for public promotion. Some features described below, including commission payments, are not yet operational and will apply only once Nebijane opens the Program and makes them available.
1. Program Relationship
The Program allows approved Affiliates to refer potential customers to eligible Nebijane products using referral links issued by Nebijane. A single affiliate account is used for all eligible Nebijane products.
Each product’s customer relationship is governed by that product’s own terms. For example, ShiftSideKick customers are governed by the ShiftSideKick Terms of Service. Being an Affiliate does not make you a customer, reseller, agent, or representative of Nebijane or any product.
Nebijane decides which products are eligible for the Program. Products marked as in development or not enabled for affiliates are not eligible.
2. Eligibility and Authority
To participate, you must be legally able to enter into a binding agreement and must provide accurate, complete application information.
If you apply on behalf of a company or other organization, you represent that you have authority to bind that organization to these Program Terms.
Nebijane may decline participation where it reasonably believes that participation would be unlawful, would create unacceptable risk, or would be inconsistent with these Program Terms.
3. Application and Approval
Applicants must create an affiliate account, verify their email address, and describe how they intend to promote Nebijane products.
Nebijane reviews applications manually and may approve or reject any application in its reasonable discretion. Submitting an application does not guarantee approval, and Nebijane is not required to explain its decision.
A referral code is issued only after approval. You must keep your account credentials secure, keep your account information accurate, and are responsible for activity under your account. You may hold only one affiliate account.
4. No Promotion Before Approval and Launch
You may not promote Nebijane products as an Affiliate, or distribute referral links, unless your application has been approved and Nebijane has opened the Program for public promotion.
Until the Program is open, any referral link shown in your affiliate dashboard is a preview only. Activity that occurs before the Program opens is not eligible for commission unless Nebijane expressly agrees otherwise in writing.
You must also have accepted the current version of these Program Terms. If these Program Terms are updated, your referral links may be unavailable or inactive until you accept the updated version in your affiliate account.
5. Referral Links and Attribution
Referral links are issued by Nebijane and identify you and the product being referred. You must use referral links only in the form Nebijane provides and may not alter, mask, or disguise them in a misleading way.
When a visitor follows a referral link, Nebijane records a referral click and forwards the visitor to the product website. If that visitor later creates a qualifying customer account for that product, the product may report the signup to Nebijane so that it can be associated with the referral.
Attribution generally follows the most recent eligible referral click before the customer account is created, within the applicable referral window. Once a customer account is attributed, later clicks do not change that attribution.
Attribution depends on technical systems that may not capture every referral. For example, attribution may not occur if a visitor blocks or clears cookies, uses a different browser or device, or reaches the product without using a valid referral link. Nebijane’s records are used to determine attribution, subject to Section 22.
6. Qualifying Referrals
A referral qualifies only if all of the following are true:
- the customer is a genuine new customer of the referred product, acting for its own business purposes;
- the customer account is created after a valid click on your referral link and within the product’s referral window;
- the product reports the signup to Nebijane and the signup is attributed to you under Section 5;
- the referral is not a self-referral or related-party referral described in Section 19; and
- the referral did not result from activity that violates these Program Terms or the Affiliate Disclosure Guidelines.
A qualifying referral does not by itself earn a commission. Commissions depend on eligible customer payments as described in Section 7.
Duplicate accounts, fake accounts, accounts created with false information, and accounts created for the purpose of generating a referral are not qualifying referrals.
7. Product-Specific Commission Terms
Commission terms are set separately for each eligible product. The commission type, rate, commission duration, referral window, and hold period that apply to a product are shown in your affiliate dashboard or other written Program materials provided by Nebijane.
Unless Nebijane states otherwise for a product:
- commissions are earned only on eligible payments actually received from an attributed customer, not on signups, free plans, or unpaid invoices;
- commissions are calculated on the eligible payment amount as defined in the product’s commission terms; and
- the commission terms in effect when a payment is earned apply to that payment.
Nebijane may change product-specific commission terms prospectively. Changes do not reduce commissions already earned under prior terms, except as described in Sections 12, 13, and 19.
8. Commission Duration
Each product specifies how long an attributed customer’s eligible payments can earn commission. After that period ends, further payments from that customer do not earn commission.
A customer’s cancellation of a subscription does not by itself reverse commissions already earned on prior eligible payments.
9. Referral Window
Each product specifies a referral window. A referral click is eligible for attribution only if the referred visitor creates a qualifying customer account within that window after the click.
A later valid referral click, including a click from another Affiliate, may replace an earlier click before the customer account is created.
10. Hold Period
Earned commissions are subject to the hold period shown for the product before they can become eligible for payout. The hold period allows time for refunds, chargebacks, and fraud review.
Nebijane may extend the hold for a specific commission while it investigates suspected invalid activity.
11. Payouts
Commission payouts are not yet operational.
Before payouts begin, Nebijane will publish or provide in writing the payout method, any minimum payout amount, payout schedule, required payee and tax information, and other payout mechanics. Those payout terms will form part of these Program Terms. Nebijane may require you to accept an updated version of these Program Terms before you receive payouts or continue participating in the Program.
Nebijane may withhold payout until you have provided accurate payee and tax information that Nebijane reasonably requires.
12. Refunds, Chargebacks, and Reversals
If a customer payment that generated a commission is refunded, charged back, reversed, canceled, or determined to be fraudulent or invalid, the related commission may be reversed.
If a reversed commission was already paid, Nebijane may deduct the amount from future commissions or request repayment, to the extent permitted by law.
13. Fraud and Invalid Activity
Commissions are not earned on referrals, signups, or payments that result from fraudulent, deceptive, or otherwise invalid activity. Prohibited activity includes:
- cookie stuffing, forced clicks, or setting referral tracking without a genuine, intentional click by the visitor;
- invisible, automatic, or misleading redirects, frames, pop-ups, or pop-unders;
- fabricated, fraudulent, or stolen-payment transactions;
- creating, or encouraging others to create, duplicate, fake, or throwaway customer or affiliate accounts;
- manipulating, spoofing, or interfering with referral tracking or attribution;
- generating clicks or signups through bots, scripts, incentivized click schemes, or other artificial traffic;
- using another person’s identity, payment method, or account; and
- any other activity intended to obtain commissions that would not be earned through genuine customer referrals.
Nebijane may review referral, click, and payment activity to identify invalid activity. Nebijane does not represent that it can detect all invalid activity, and the absence of detection does not make invalid activity eligible for commission.
14. Prohibited Promotional Conduct
When promoting Nebijane products, you must comply with applicable law and must not:
- make false, misleading, exaggerated, or unsubstantiated claims about a product, including its features, pricing, availability, security, or results;
- make claims about a product that Nebijane has not made or cannot support;
- claim personal experience with a product that you do not have;
- offer discounts, trials, or promotions that Nebijane has not authorized;
- send spam or unsolicited commercial messages;
- distribute malware, adware, spyware, or other harmful software;
- promote products on websites or channels that contain unlawful, hateful, violent, sexually explicit, or infringing content; or
- engage in any unlawful, deceptive, or unfair promotion.
15. Approved Representations
You may describe an eligible product only in ways that are consistent with the Nebijane website and any product descriptions Nebijane provides in your affiliate account.
Without Nebijane’s prior written approval, you must not state or imply that a product:
- guarantees savings, revenue, productivity, or any other result;
- ensures compliance with employment, wage-and-hour, payroll, tax, privacy, or other laws;
- holds a security certification or compliance status that Nebijane has not published;
- offers a feature, price, discount, trial, or integration that Nebijane has not published; or
- is available, when Nebijane describes it as in development or not yet generally available.
Statements of opinion must be your honest opinion. You may describe your own experience only if you have actually used the product, and only in a way that reflects that experience accurately.
16. Required Affiliate Disclosures
Whenever you promote a Nebijane product as an Affiliate, you must clearly disclose your relationship with Nebijane, including that you may earn a commission.
Your disclosure must be:
- clear and easy to understand for your audience;
- conspicuous, so that it is hard to miss;
- placed reasonably close to the recommendation or referral link it relates to, rather than only in a separate page, profile, or footer; and
- suited to the medium, including in video, audio, livestream, and social media content.
For example: “I may earn a commission if you purchase through this link.” This example is illustrative; you are responsible for using a disclosure that is clear in the context where you use it. The words “affiliate link” alone may not be enough for your audience to understand the relationship.
You must not hide your relationship with Nebijane or present paid or commission-based promotion as independent or uncompensated opinion.
The Affiliate Disclosure Guidelines provide further requirements and examples for websites, social media, email, video, and live content, and form part of these Program Terms.
17. Brand and Trademark Use
During your participation, Nebijane grants you a limited, revocable, non-exclusive, non-transferable permission to use brand materials that Nebijane provides for the Program, solely to promote eligible products under these Program Terms.
You must not:
- impersonate Nebijane, a Nebijane product, or Nebijane personnel, or suggest that you are Nebijane or an official product channel;
- register or use domain names, social media accounts, app listings, or profiles that include Nebijane or product names, or that are confusingly similar, without Nebijane’s written permission;
- alter Nebijane or product branding, logos, or materials in a misleading way; or
- imply that Nebijane endorses you, your business, or your content beyond your participation in the Program.
You must obtain Nebijane’s prior written approval before:
- running paid-search advertising that uses Nebijane, ShiftSideKick, RouteSideKick, or confusingly similar brand terms;
- promoting Nebijane products on coupon or deal websites, or promoting coupon codes for Nebijane products; or
- using sub-affiliate or affiliate-network arrangements in which another person or entity distributes your referral links.
Other paid advertising that links to a Nebijane product through your referral link must comply with these Program Terms, the Affiliate Disclosure Guidelines, and the advertising platform’s rules.
All goodwill arising from use of Nebijane or product branding benefits Nebijane. You must stop using Nebijane branding when your participation ends or when Nebijane asks you to.
18. Email and Messaging
If you promote Nebijane products by email, text message, or other direct messaging, you are responsible for complying with all applicable laws governing commercial messages, including laws about consent, sender identification, subject lines, opt-out mechanisms, and honoring opt-out requests.
You must not send messages that appear to come from Nebijane or a Nebijane product, and you must not use purchased, rented, or harvested contact lists to promote Nebijane products.
19. Self-Referrals and Related Parties
Self-referrals are not eligible for commission. You may not earn commission on your own purchases or accounts, on purchases or accounts of any business or entity you own or control, or through any arrangement designed primarily to generate commission rather than a genuine customer referral.
Nebijane may review referrals and purchases involving closely related persons or entities. Nebijane may deny commission on any such referral if it reasonably determines that the referral was made primarily to generate commission, involves fraud, or circumvents these Program Terms.
20. Suspension
Nebijane may suspend your participation, including your referral links, while it investigates a suspected violation of these Program Terms, suspected invalid activity, a complaint, or a legal or security concern.
While your account is suspended, your referral links are inactive and you must stop promoting Nebijane products as an Affiliate. Referral activity during a suspension is not eligible for commission. Commissions under review during a suspension may be held until the review is complete.
21. Termination
You may stop participating in the Program at any time by contacting Nebijane.
Nebijane may terminate your participation at any time, including for a violation of these Program Terms, invalid activity, inactivity, or if Nebijane changes or discontinues the Program or a product’s eligibility.
After termination, your referral links stop being eligible for new attribution, and you must remove referral links and Nebijane brand materials from your content within a reasonable time. If you are terminated for a reason other than a violation of these Program Terms or invalid activity, commissions validly earned before termination remain subject to the hold period, reversal rules, and payout terms. Commissions connected to a violation or invalid activity are not payable.
22. Records, Corrections, and Disputes
Nebijane’s referral, attribution, and commission records are used to determine attribution and commissions. Nebijane may correct records that it determines are inaccurate, including errors caused by technical problems, duplicate events, or invalid activity.
If you believe a record is incorrect, contact Nebijane with details within a reasonable time after you become aware of the issue. Nebijane will review the request in good faith and inform you of its decision.
23. Taxes
You are responsible for any taxes that apply to commissions you receive. Nebijane may request tax forms or other information it reasonably needs to meet its own reporting or withholding obligations, and may withhold amounts where required by law.
Nebijane does not collect tax or banking information through the affiliate application. If that information becomes necessary for payouts, Nebijane will request it through a separate process.
24. Independent Contractor Relationship
You participate in the Program as an independent contractor. These Program Terms do not create an employment, partnership, joint venture, franchise, or agency relationship. You may not make commitments or statements on behalf of Nebijane.
You are responsible for your own costs, equipment, and business operations in connection with the Program.
25. Confidentiality
Non-public information that Nebijane shares with you through the Program, such as unreleased product information, non-public commission arrangements, or account-specific reports, is confidential. You may use it only for participating in the Program and may not disclose it without Nebijane’s permission, unless the information becomes public through no fault of yours or disclosure is required by law.
26. Intellectual Property
Nebijane and its licensors own Nebijane, ShiftSideKick, RouteSideKick, and other Nebijane product names, logos, software, website content, and brand materials. Except for the limited permission in Section 17, these Program Terms do not grant you any rights in them.
You retain ownership of the content you create. You are responsible for ensuring that your content does not infringe the rights of others.
27. No Guarantee of Earnings
Nebijane does not guarantee that you will earn any commission or any particular amount. Results depend on many factors outside Nebijane’s control. Nebijane does not guarantee that a product will remain available, keep the same pricing, or remain eligible for the Program.
28. Privacy
Nebijane handles affiliate account information, referral-click records, and attribution records as described in the Nebijane Privacy Policy.
If you collect personal information from your own audience, you are responsible for handling it lawfully and for your own privacy disclosures.
29. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the Program, affiliate dashboard, and referral tracking are provided “as is” and “as available,” and Nebijane does not warrant that they will be uninterrupted or error-free.
To the maximum extent permitted by law, Nebijane will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from the Program. Nebijane’s aggregate liability arising from the Program will not exceed the commissions paid or payable to you under these Program Terms during the twelve (12) months before the event giving rise to the claim.
Nothing in these Program Terms limits liability or rights where limitation is prohibited by law.
30. Indemnification
To the extent permitted by law, you agree to defend and indemnify Nebijane against third-party claims arising from:
- your promotional content or methods;
- your violation of these Program Terms, the Affiliate Disclosure Guidelines, or applicable law; or
- your infringement of another person’s rights,
except to the extent caused by Nebijane’s willful misconduct or where prohibited by law.
31. Changes to the Program and These Program Terms
Nebijane may modify, suspend, or discontinue the Program, or change which products are eligible, as the Program evolves.
Nebijane may update these Program Terms. When we make material changes, we will update the effective date and, where appropriate, notify Affiliates or ask them to accept the updated terms.
Changes apply prospectively. If you do not agree to updated Program Terms, you may stop participating.
32. Governing Law and Disputes
These Program Terms and any dispute arising out of or relating to the Program will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any dispute that is not otherwise resolved informally will be brought in a court of competent jurisdiction in Florida, unless applicable law requires otherwise.
Nothing in this section limits rights or remedies that cannot lawfully be waived or restricted.
